1. Joining the Affiliate Programme
a. To join our affiliate programme, you must complete the Travelsphere affiliate application form. This can be done on-line by clicking here or you can request a form to be posted to you by e-mailing us.
b. Your application may be rejected if we feel your site is not suitable. This is at our absolute discretion.
c. It is your responsibility to read, understand and agree to each and every term and provision set out in this agreement. If successful, you may join the affiliate programme subject to the terms and conditions at all times.

2. Term of the Agreement
a. This agreement comes into effect upon our notification to you of your accepted application.
b. We are entitled at our discretion to terminate this agreement with you at any time. Termination will be immediate upon notification to you. You are not entitled to be privy to the reasoning behind a termination of agreement.
c. Should you wish to terminate the agreement, you must inform us in writing.

3. Modification
We may modify some of or all of the terms in this agreement without prior notification. You will receive notification of any modifications via e-mail or letter. If you do not accept said modifications, your only recourse is to cease your affiliation. Continuing your affiliation with us after any modifications is acceptance on your part.

4. Links, Graphics & Content
a. Upon your successful application, we will provide you with the links and graphics for the products you requested on your application form by e-mail. We will also provide you with your own unique tracking code. It is your responsibility to ensure you place this code in the links correctly. We will not be held liable for any lost commission due to incorrect tracking or links being placed on your website.
b. From time to time, we may send you amends or updates on existing content or links. It is your responsibility to ensure you update the details on your website accordingly.

5. Licences and use of logos, name and trade marks
a. You agree that all copyright, trade marks, trade names, intellectual property rights, domain names, text, images, audio and other identifiable material are and will remain the sole property of Travelsphere Ltd. In accordance with this agreement, we grant you a non-exclusive, non-transferable right to access our website through our links and content. The rights to display such links and content is for the limited purpose of advertising while you are a member of the Travelsphere affiliate programme. You acquire no rights or licences whatsoever connected to our licensed material other than that explicitly set out in this agreement.
b. You can not alter, modify, distort or delete any licensed material. You can not use this licensed material in any way that may reflect badly on Travelsphere, our reputation or brand image. You will not use this licensed material outside the terms of this agreement. This agreement permits only the named company and website on the application to use our licensed material. You are not permitted to pass any of our licensed material to a third party. If you wish to use any of our licensed material in any way outside the terms of this agreement, you must request our permission in writing and wait for our explicit consent prior to doing so. You shall not create, publish, distribute or permit any marketing material including, but not limited to, on-line, e-mail subscription and printed, that refers to us without obtaining our prior written consent.
c. You are not permitted to bid on the keyword 'Travelsphere' or our brand names in relation to a Pay Per Click campaign.

6. Commission
Commission is only payable on confirmed bookings* OR brochure requests made by users via a sourced link from the website address on the application form to the page provided by us.
*A booking becomes confirmed when Travelsphere receives the full deposit for the holiday.
Commission is only payable on confirmed bookings or brochure requests made during the term of this agreement.
Option 1 - Bookings
We will pay commission for bookings made on the products listed below at the following rates:

Commission is paid for each on-line booking as well as bookings made via the telephone as a result of a brochure request sourced against your affiliate code. Commission for bookings is paid for each named person on the booking form.
Option 2 - Brochure Requests
We will pay commission for brochure requests against your source code at the following rates:

Commission for brochure requests is paid for each brochure requested per unique visitor. If you choose this option, you will not receive commission for any subsequent bookings made against any brochure request sourced against your affiliate code.
You will not receive commission for a brochure request AND a booking, you can only opt for one affiliation programme per URL.

7. Payment
a. Commission will be paid by cheque each month, provided that the commission due has accrued to £50 or more. Any outstanding commission below this amount will be carried forward to the following month. Please be aware if you have a VAT registration number you must provide this to us before any payments can be made.
b. It is your sole responsibility to comply with any legislation regarding the payment of VAT against your commission. Travelsphere accept no liability in your failure to submit the correct VAT documents in issuing said cheque.
c. Commission already paid on confirmed bookings that are subsequently cancelled, rejected upon credit card authorisation, refunded, charged back or where the remaining balance is not paid in full by the client will be deducted from the next commission payment due to you.
d. Upon termination of this agreement, any outstanding commission will be paid on the next due date. If your account is in negative commission (see 7c), we will send you an invoice for the outstanding amount. You will need to pay by cheque within 30 days upon receipt of said invoice.

8. Tracking
Travelsphere can track a user's activity for up to 14 days after their initial click through and award any commission earned during this time frame. Please note, this applies to bookings only, not brochure requests. For example, a user may make an initial visit to our website via your affiliate link but fail to book on-line. They can then return to our website within 14 days and book on-line allowing us to trace this activity to your affiliate link and award the relevant commission to your affiliate campaign.

9. Obligations regarding your site
You agree that your site will not in any way copy or resemble our website. You will not imply or expressly state that your website is part of our website.
You shall remain solely responsible for your website, e-mail subscription and content. We are under no circumstances responsible for the practices or content of your website or e-mail subscription.

10. Relationship of Parties
The relationships of the parties to this agreement shall be solely that of independent contractors, and nothing contained in this agreement shall be construed otherwise. Nothing in this agreement or in the business or dealings between the parties shall be construed to make them joint ventures or partners with each other. Neither party shall do anything to suggest to third parties that the relationship between the parties is anything other than that of independent contractor.

11. Business Operations
a. We will make reasonable commercial efforts to keep our website operational during normal business hours. However, you agree that it is normal to have a certain amount of system downtime and agree we are not liable for any of the consequences or loss of commission due to such interruptions.
b. All information contained on our website is correct at the time of publication. Although we check our website content regularly and endeavour to ensure that it is accurate at all times, there may be occasions when certain information shown is no longer accurate. We can not accept any liability for of the consequences or loss of commission due to incorrect information being displayed on the website.

12. Force Majeure
Travelsphere will not be held liable or pay any compensation where the performance of our obligations contained within this agreement is hindered by any event which we could not, even with all due care, foresee or avoid. Such events include, but are not limited to, electrical outages, failure of Internet service providers, war or threat of war, riot, civil strife, terrorist activity, industrial dispute, natural or nuclear disaster, technical problems with transport, closure of airports or ports, changes of schedules by scheduled airlines, adverse weather conditions, fire and all similar events outside our control.
